DELIVERY AND SHIPPING TERMS

These Delivery and Shipping Terms set out the general principles governing the preparation, despatch and delivery of orders placed through https://www.implast.com.tr (the “Website”) and fulfilled by İMREN Plastik ve Gıda San. ve Tic. A.Ş. (“İMREN”, the “Company”, the “Seller”, “we”, “us” or “our”).

For transactions with consumers, these terms apply together with Consumer Protection Law No. 6502, the Regulation on Distance Contracts and other applicable legislation of the Republic of Türkiye.

Nothing in these Terms shall be interpreted as excluding or restricting any mandatory statutory rights granted to consumers under applicable law.

1. PREPARATION OF ORDERS

Orders are prepared according to the nature of the order, product availability, payment method, production requirements, quantity and delivery address.

The order preparation process may include:

  • checking order details;

  • verifying payment or payment authorisation;

  • checking stock availability;

  • preparing and packaging products;

  • carrying out production where required; and

  • preparing shipping documentation and invoices.

For payments made by bank transfer or EFT, processing of the order may be subject to verification of the relevant payment by İMREN.

Successful placement of an order, completion of payment or issue of an order confirmation does not affect any obligations arising under applicable legislation in relation to preparation and delivery.

2. DELIVERY OF IN-STOCK PRODUCTS

Standard products that are in stock are prepared for despatch as soon as reasonably possible following completion of the relevant order and payment checks.

Where a specific delivery period has been promised for a product, the period communicated before or at the time of the order shall apply.

For consumer transactions, except for goods prepared in accordance with the consumer's request or personal requirements, the delivery period for the sale of goods shall, as required by applicable legislation, not exceed thirty days.

Delivery times may be affected by factors including:

  • delivery location;

  • the courier's operating arrangements;

  • public holidays;

  • periods of increased demand; and

  • transportation conditions.

Consumers' statutory rights under applicable legislation remain unaffected.

3. CUSTOM MOULDS, BESPOKE PRODUCTION AND PERSONALISED PRODUCTS

Products specifically designed or manufactured by İMREN according to a customer's requirements, including:

  • bespoke chocolate moulds;

  • products manufactured to customer-specific measurements or designs;

  • moulds prepared according to a logo, pattern, shape or technical specification;

  • prototype or sample work; and

  • made-to-measure or otherwise bespoke products

may be subject to different production and delivery periods from standard stocked products.

Delivery times for such orders may depend upon:

  • preparation of the design;

  • technical assessment;

  • customer approval;

  • preparation of samples or prototypes;

  • revision processes;

  • production;

  • quality control; and

  • order quantity.

For goods prepared in accordance with a consumer's request or personal requirements, a delivery period longer than thirty days may be agreed between the parties to the extent permitted by applicable legislation.

For bespoke production or customised mould orders, the production or delivery period communicated to the customer through a quotation, order confirmation, contract or other durable medium shall apply.

Where customer approval is required, delays in approving a design or technical specification may affect the production and delivery timetable accordingly.

4. COMMENCEMENT OF THE DELIVERY PERIOD

Delivery periods are assessed according to the nature of the relevant order.

For standard products, goods are prepared for despatch after receipt of the order and completion of the relevant payment and order checks.

For bespoke production and customised mould orders, commencement of production may depend upon:

  • receipt of complete technical information;

  • approval of the design or technical drawing;

  • approval of a sample where required; and

  • completion of the payment agreed between the parties, where applicable.

Mandatory rules applicable to consumer transactions and any delivery commitments provided to the consumer at the time of the order remain unaffected.

5. SHIPPING AND DELIVERY

Orders may be delivered through courier, transportation or logistics service providers selected by İMREN or identified to the customer during the ordering process.

Where technically available, once an order has been despatched the customer may be provided with information including:

  • the courier company;

  • shipment or tracking number; and

  • shipping status

by e-mail, SMS, the user's account or another communication channel.

Estimated delivery times or routes communicated by the courier may depend on the relevant carrier's own operations.

6. DELIVERY ADDRESS AND RECIPIENT INFORMATION

The purchaser is responsible for providing accurate, complete and up-to-date:

  • name and surname/company name;

  • delivery address;

  • telephone number;

  • e-mail address; and

  • other information required for delivery.

Where delivery is delayed or cannot be completed because delivery information is incomplete or incorrect, the customer may be contacted to resolve the issue.

Where a change of delivery address is requested after an order has been placed, the ability to make the change will depend on the preparation and shipping status of the order.

Once the goods have been handed to the courier, it may not always be possible to change the delivery address.

7. INSPECTION UPON DELIVERY AND SHIPPING DAMAGE

Customers are advised to inspect the external condition of the parcel when accepting delivery.

Where the parcel shows signs of:

  • crushing;

  • tearing;

  • water damage;

  • puncturing;

  • opening;

  • substantial deformation; or

  • any other indication that the contents may have been damaged,

the parcel should, where reasonably possible, be inspected together with the courier before acceptance.

Where visible shipping damage is identified, customers are advised to request a damage report from the courier and, where possible, record the damage by photograph or video.

To assist us in assessing a claim promptly, customers should contact İMREN as soon as possible and provide:

  • the order number;

  • details of the damaged product;

  • photographs of the parcel and product; and

  • the courier damage report, where available.

Failure to obtain a courier damage report does not, by itself, extinguish any statutory rights that a consumer may have under applicable law.

8. LIABILITY FOR LOSS OR DAMAGE IN TRANSIT

For consumer transactions, İMREN is responsible under applicable legislation for loss of or damage to the goods until they are delivered to the consumer or to a third party designated by the consumer other than the carrier.

However, where the consumer specifically requests delivery using a carrier other than the carrier designated by İMREN, İMREN may not be responsible, subject to applicable legislation, for loss or damage occurring after the goods have been handed to that carrier.

Consumers' statutory rights concerning defective goods, delivery and other matters remain unaffected.

9. UNSUCCESSFUL DELIVERY

Where delivery cannot be completed due to circumstances such as:

  • an incomplete or incorrect delivery address;

  • inability to contact the recipient;

  • no authorised person being available to accept delivery; or

  • unsuccessful delivery attempts by the courier,

the shipment may be held at a courier branch or returned to İMREN.

Where a shipment is returned to İMREN for reasons attributable to the customer, the conditions for re-despatch will be communicated to the customer.

To the extent permitted by law, reasonable additional shipping costs arising from re-despatch due to circumstances attributable to the customer may be charged to the customer.

Mandatory consumer rights under applicable law remain unaffected.

10. STOCK AVAILABILITY AND SUPPLY DELAYS

We take reasonable steps to keep product availability information up to date.

However, temporary stock discrepancies may occur due to simultaneous orders, inventory synchronisation, technical system errors or similar circumstances.

The mere fact that a product is out of stock does not, by itself, constitute impossibility of performance under applicable Turkish consumer legislation.

In such circumstances, İMREN will inform the customer and provide the options available according to the nature of the order and applicable legislation.

Statutory delivery periods and consumer rights remain unaffected.

11. IMPOSSIBILITY OF PERFORMANCE

Where delivery of the goods becomes legally or factually impossible, İMREN will fulfil its obligations under applicable legislation in respect of consumer transactions.

Where the Regulation on Distance Contracts applies, the consumer will be informed in writing or through a durable medium within three days of İMREN becoming aware of the impossibility.

Amounts already collected, including delivery charges where applicable, will be refunded to the consumer no later than fourteen days following notification, in accordance with applicable legislation.

12. DELIVERY DELAYS

Where it is anticipated that an order cannot be delivered within the period promised, the customer will be informed where reasonably possible.

Where İMREN fails to comply with its statutory obligations concerning the promised delivery period in a consumer transaction, the consumer may exercise the rights available under applicable legislation.

Where the consumer becomes entitled to terminate a distance contract, amounts collected will be refunded within the periods and subject to the conditions prescribed by applicable legislation.

13. FORCE MAJEURE AND CIRCUMSTANCES OUTSIDE İMREN'S REASONABLE CONTROL

Events outside İMREN's reasonable control, including natural disasters, earthquakes, flooding, fire, war, acts of terrorism, epidemics, decisions of public authorities, serious transportation disruption, strikes and widespread infrastructure or communication failures, may affect delivery processes.

Where such circumstances arise, customers will be informed where reasonably possible and reasonable steps will be taken to fulfil the relevant order.

Nothing in this provision removes any mandatory statutory rights available to consumers.

14. DELIVERY CHARGES

Where courier, transportation or delivery charges apply, the applicable charge will be shown in accordance with applicable legislation before the consumer completes the order.

Where free delivery, free shipping above a specified order value or similar campaigns are offered, the relevant terms may be displayed separately on the Website.

No mandatory additional delivery charge will be added to the total price communicated during the ordering process without the consumer's express approval where such approval is required by law.

15. INTERNATIONAL DELIVERIES

Where İMREN offers delivery outside Türkiye, international shipments may be subject to different delivery periods depending upon:

  • destination country;

  • carrier;

  • customs procedures;

  • import procedures;

  • the nature of the products; and

  • order quantity.

Responsibility for customs duties, import taxes, charges, brokerage fees or similar costs, where applicable, will be determined according to the terms stated in the relevant order, quotation, sales contract or delivery terms.

Customs inspections or procedures carried out by authorities in the destination country may affect delivery times and are outside İMREN's direct control.

For international commercial orders, separately agreed shipping and delivery terms between the parties shall apply in the first instance.

16. COMMERCIAL AND CORPORATE ORDERS

Special rights granted to consumers under Consumer Protection Law No. 6502 apply only where the relevant transaction legally qualifies as a consumer transaction.

For sales made to companies, traders or other corporate purchasers acting for commercial or professional purposes, the following may apply in the first instance:

  • quotations;

  • pro forma invoices;

  • purchase orders;

  • sales agreements;

  • bespoke production agreements; and

  • shipping and delivery terms agreed in writing between the parties.

Mandatory provisions of applicable legislation remain unaffected.

17. RELATIONSHIP WITH OTHER TERMS AND POLICIES

These Delivery and Shipping Terms should be read together with the applicable:

  • Pre-Contract Information Form;

  • Distance Sales Agreement;

  • Returns and Cancellation Policy;

  • Privacy and Security Policy; and

  • product- or order-specific terms.

Where specific delivery conditions have been lawfully agreed for a particular order, those specific conditions may apply to that order.
